Terms of Service and Donation

Hidola is an online information service provided by GuidedMed Inc. By accessing or using this service or donating to GuidedMed Inc., you agree to be bound by all of the terms and conditions below.

Your Agreement with GuidedMed Inc.
This is a contract between you and GuidedMed Inc. Sometimes GuidedMed Inc. is referred to as "GuidedMed," "we," "us," or "our." All the contents (e.g., text, graphics, images, and other materials) and services available at our Web sites (including but not limited to www.hidola.com and www.guidedmed.com) are referred to in this contract as the "services." Both the services that GuidedMed Inc. provides to you and your donations to GuidedMed Inc. are subject to the following Terms of Service and Donation. GuidedMed Inc. reserves the right to update this Terms of Service and Donation at any time without notice to you. You agree to review this Terms of Service and Donation periodically to be aware of such modifications. Your accessing or using our Web sites or donating to GuidedMed Inc. constitutes your acceptance of this Terms of Service and Donation as it appears at the time of your access, use, or donation. Before you continue, you should print off or save a local copy of this Terms of Service and Donation for your records.

Any content accessed through our services is not intended to cover all possible uses, directions, precautions, drug interactions, or adverse effects. Use of GuidedMed's Services
Our services are for your personal and non-commercial use only. In using our services, you will obey the law, obey any notices and codes of conduct we provide, and notify us promptly if you learn of a security breach related to our services. You agree to only access our services through the interfaces and tools provided. You may not (1) harm us or our affiliates, (2) use any portion of our services as a destination linked from any spam message, (3) use automated process (e.g., script, robot, spider) to use our services, (4) damage, reroute, disable, overburden, or impair our services or interfere with other people's use and enjoyment of our services, (5) sell, trade, resell or redistribute our services, in whole or in part, (6) decompile or otherwise attempt to extract the source code of our software that is used to provide our services, (7) copy, reproduce, post, publish, broadcast, modify, license, reverse engineer, transmit, create derivative works of our services in any way without prior written consent of GuidedMed Inc. You agree to comply with the instructions set out in any robots.txt file present on our services. You agree that GuidedMed Inc. may terminate your access to our services at any time without prior notice for any reason including possible violations of this Terms of Service and Donation.

You may not use our services and may not accept this Terms of Service and Donation if (1) you are not of legal age to form a binding contract with GuidedMed Inc., or (2) you are barred from receiving our services under the laws of the United States or other countries including the country in which you are resident or from which you use our services.

Content in GuidedMed's Services
You understand that content provided to you as part of our services, including but not limited to advertisements and sponsored content, may be protected by intellectual property rights owned by the sponsors or advertisers (or by other people or companies on their behalf). Certain content that appears on our Web sites comes from Amazon Services LLC. This content is provided "as is" and is subject to change or removal at any time. You may not modify, rent, lease, loan, sell, distribute, or create derivative works based on the content on our Web sites, either in whole or in part, unless you have been specifically told by the owners of that content in a separate agreement. You are aware that by using our services, you may be exposed to content that you may find offensive, indecent, or objectionable and that, in this respect, you use our services at your own risk.

Exclusion of Warranties
Use of our services is at your own risk. Our services are provided "as-is," "with all faults," and "as available." We give no guarantee, warranty, or condition, whether express, implied, or statutory, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement, of (1) the accuracy, reliability, completeness, usefulness, currentness, or timeliness of information available from our services or through the Internet in general, (2) the availability, timeliness, security, free of virus, or free of error of our services, (3) the satisfaction of any government regulations requiring disclosure of information on prescription drug products or the approval or compliance of any software tools regarding the contents contained on our Web sites.

Indemnification and Liability Limitation
In no event shall GuidedMed Inc., its licensors, its suppliers, or any third parties mentioned on our Web Sites be liable for any damages (including, without limitation, direct, indirect, incidental, and consequential damages, personal injury/wrongful death, lost profits, goodness, business reputation, or damages resulting from lost data or business interruption) resulting from the use of or inability to use our Web Sites or the content on our Web sites and on third party Web sites, whether based on warranty, contract, tort, or any other legal theory, and whether or not GuidedMed Inc. is advised of the possibility of such damages. GuidedMed Inc. is not liable for (1) any personal injury, including death, caused by your use or misuse of our Web sites or the content contained on our Web sites and third party Web sites, (2) any reliance you place on the completeness, accuracy, or existence of any advertisement, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertisement appears on our services, (3) decisions or interactions resulting (directly or indirectly) from making donations to GuidedMed Inc., (4) any damages, costs, losses, or expenses incurred as a result (directly or indirectly) of making donations to GuidedMed Inc.. You will defend or settle any third-party claim against GuidedMed Inc. arising out of or related to your use of our services and your donations to GuidedMed Inc. The above indemnification and liability limitation apply even if GuidedMed Inc. knew or should know about the possibilities of damages.

Advertisements
Some of our services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on our services, queries made through our services or other information. The manner, mode, and extent of advertising by GuidedMed Inc. on our services are subject to change without specific notice to you. In consideration for GuidedMed Inc. granting you access to and use of our services, you agree that GuidedMed Inc. may place such advertising on our services. Advertising does not look at your search terms.

Donations
GuidedMed Inc. is a for-profit company. Donations support some of our services. Your donations to GuidedMed Inc. are considered gifts, not payments for goods or services. As such we do not compensate your donations in any way shape or form. The manner, mode, and extent of donating to GuidedMed Inc. are subject to change without specific notice to you. You understand that any and all decisions made by you with respect to donation to GuidedMed Inc. are yours alone. You may donate to GuidedMed Inc. at any time with or without providing any information about yourself to GuidedMed Inc. In order to process a donation, however, the third party that processes donations will collect private information and GuidedMed Inc. encourages you to review the privacy policy followed by that third party when doing so.

GuidedMed Inc. will not provide refunds under any circumstances, including but not limited to, you do not favor our services, you do not have any proof of your donation, or you are banned. Your donation is completely optional and at your own risk. You agree to give up all legal rights towards GuidedMed Inc. when donating.

This agreement is governed by New York State law. The exclusive venue for any dispute related to this agreement is Westchester County, New York, United States of America. You and GuidedMed Inc. consent to the personal jurisdiction of these courts. Notwithstanding this, you agree that GuidedMed Inc. is allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
